Articles Of Association Of MMASAHKC

  • 1. NAME AND REGISTERED OFFICE
    The name of the club is The Mixed Martial Arts Sports Association of Hong Kong, China. The registered officeof the club shall be situated in Hong Kong or such other place as may be determined by the Committee from time to time.
  • 2. OBJECTS
    The objects of the club are to promote, encourage, and develop the sport of Mixed Martial Arts in Hong Kong, and generally to do all such other things as are incidental or conducive to the attainment of the above objectives.
  • 3. MEMBERSHIP
    (a) There shall be three categories of membership: (i) ordinary members, (ii) associate members, and (iii)honorary members.
    (b) Ordinary members shall be persons who are interested in the sport of Mixed Martial Arts and who have paid the annual subscription fee as determined by the Committee.
    (c) Associate members shall be persons who are interested in the sport of Mixed Martial Arts but who are not eligible for ordinary membership. They shall have no voting rights and shall not be eligible to hold office.
    (d) Honorary members may be elected by the Committee in recognition of outstanding service to the club or to the sport of Mixed Martial Arts. They shall have no voting rights and shall not be eligible to hold office.
    (e) The Committee may, at its discretion, refuse any application for membership without assigning any reason.
  • 4. SUBSCRIPTIONS
    (a) The annual subscription fee for ordinary members shall be determined by the Committee and shall be payable in advance.
    (b) The Committee may waive or reduce the subscription fee for any member who is unable to pay it due to financial hardship.
    (c) Any member whose subscription fee is more than three months in arrears shall be deemed to have resigned from the club.
  • 5. MANAGEMENT
    (a) The management of the club shall be vested in a Committee.
    (b) The Committee shall be elected at the Annual General Meeting of the club and shall hold office until the next Annual General Meeting.
    (c) The Committee shall have power to fill any casual vacancy and to appoint sub-committees for any purpose it deems necessary.
    (d) The Committee may make, repeal, or amend any by-laws for the regulation of the club and its members, provided that such by-laws are not inconsistent with these Articles of Association.
  • 6. MEETINGS
    (a) The Annual General Meeting shall be held once in every calendar year, at such time and place as the Committee may determine.
    (b) Special General Meetings may be called by the Committee or on a requisition signed by not less than half of the members, stating the object of the meeting.
    (c) At all General Meetings, half of the members personally present shall form a quorum.
    (d) Every member shall have one vote.
    (e) The Chairman of the Committee shall preside at all General Meetings. In his absence, the members present shall elect a Chairman for the meeting.
  • 7. FINANCIAL YEAR
    The financial year of the club shall commence on ______ and end on ______.
  • 8. AUDIT
    The accounts of the club shall be audited at least once in every financial year by a qualified auditor appointed by the members at the Annual General Meeting.
  • 9. DISSOLUTION
    (a) The club may be dissolved by a resolution passed by two-thirds of the members present and voting at a Special General Meeting convened for the purpose.
    (b) In the event of the dissolution of the club, the assets of the club shall be distributed among such charitable institutions or organizations as the Special General Meeting may determine.
  • 10. INTERPRETATION
    In the event of any dispute or question arising as to the interpretation of these Articles of Association, the matter shall be referred to the Committee, whose decision shall be final and binding on all members of the club.
